1. Eligibility and Reseller Certificates

To participate in our wholesale program, you must be a licensed business, organization, or reseller. A valid reseller certificate must be provided before your first order is processed. If a current and valid certificate is not on file, applicable sales tax will be collected on all orders.

2. Sales Tax

We do not charge sales tax on wholesale orders if a valid reseller certificate is provided and remains current. If a certificate is not provided or becomes invalid, we will collect applicable sales tax based on your shipping address.

3. Pricing and Payment Terms

All prices listed are wholesale prices and are subject to change without notice. Full payment is due upon placing the order. We accept major credit cards, Shop Pay, and Affirm. Orders may include additional shipping, handling, or processing fees, which will be displayed at checkout.

4. Order Confirmation and Fulfillment

Orders are processed on a first-come, first-served basis and product availability is subject to change. You will receive an order confirmation email once your order is successfully placed. We reserve the right to cancel orders in the event of errors, stock unavailability, or other unforeseen issues.

5. Final Sale Policy

All wholesale orders are FINAL SALE. No returns, exchanges, or cancellations will be accepted once an order is placed. If an item arrives damaged, we will issue a replacement, store credit, or refund for the damaged item. Please review your order carefully before submission.

6. Shipping and Delivery

Shipping fees are calculated and added at checkout. All products ship FOB (Free on Board), meaning risk of loss and title pass to you when the carrier receives the shipment. Inspect products upon receipt and report any damage within 5 business days.

7. Damaged or Defective Products

If products arrive damaged or defective, you must notify us within 5 business days of receipt with photographs and a description of the damage. We will work with you to determine the appropriate resolution, which may include replacement or credit at our discretion.

8. Limitation of Liability

Under no circumstances will Privé be liable for indirect, special, incidental, or consequential damages—including but not limited to lost profits—arising out of or related to products purchased through our wholesale program.

9. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Delaware. Any disputes will be resolved exclusively in the courts of Delaware.
